Terms of Service

1. Acceptance of Terms

By accessing or using Karmas AI ("the Service"), operated by Innovenses Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

Karmas AI provides AI-powered voice agent software that handles inbound and outbound telephone calls on behalf of businesses. The Service includes agent configuration, call handling, analytics, integrations, and related tools available through our web dashboard and APIs.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Make automated calls that violate the Telephone Consumer Protection Act (TCPA) or equivalent local laws
• Transmit malicious, deceptive, or fraudulent content through voice agents
• Attempt to gain unauthorized access to our systems or other users' accounts
• Resell access to the Service without our written consent

5. Billing & Payments

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Overages beyond your plan's included minutes are billed at the per-minute rate listed on your plan page.

6. Intellectual Property

The Service, including all software, designs, and documentation, is owned by Innovenses Pty Ltd and protected by intellectual property laws. You retain ownership of your data and content uploaded to the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our control, including internet outages and third-party service failures.

8. Limitation of Liability

To the maximum extent permitted by law, Innovenses Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we may delete your data after a 30-day grace period.

10. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
